2. Product-specific terms

Because we offer different types of products and services, the specific sales page, checkout page, offer description, order confirmation, coaching agreement, membership description, or other materials associated with your purchase may contain additional terms.

  • price;

  • payment schedule;

  • duration;

  • access period;

  • included features;

  • deliverables;

  • coaching or support arrangements;

  • cancellation conditions; and

  • other product-specific terms.

Those product-specific terms form part of your agreement with us.

If a product-specific term conflicts with these general Terms, the more specific term will generally govern that particular product or service, except where applicable law requires otherwise.

3. Accounts and access

Online products may require a personal account or registered email address.

Unless we expressly state otherwise, one purchase provides access for one user associated with one registered email address.

Your account and licence are personal to you. You may not share, sell, sublicense, transfer, or provide your account or login credentials to another person.

You are responsible for maintaining the confidentiality and security of your login information and for activity occurring through your account.

If you believe your account or credentials have been compromised, please contact us promptly at hello@isabelnelis.com.

If you need to change the email address associated with your account, you may contact us. We may assist where technically possible, but we do not guarantee that account email addresses can always be changed.

4. Process-based digital products

Some of our digital applications are designed as one-time processes rather than permanent-access software.

For these products, you receive access for the purpose of completing the applicable process.

Access to the interactive application may end once the process has been completed or as otherwise described in the product offer.

  • an HTML file containing your results;

  • .md documents;

  • icons or visual assets;

  • written materials; or

  • other product-specific deliverables.

Once successfully downloaded to your device, those files can be kept by you.

You are responsible for saving and backing up downloaded files. We do not guarantee that we will retain, recreate, or replace your downloaded outputs indefinitely after they have been successfully provided to you.

5. Access to video library

Certain purchases may include ongoing access to a tutorial or educational video library.

Unless expressly stated otherwise, "ongoing access" means access for as long as the applicable library remains available and supported by Isabel Nelis.

It does not mean that we guarantee that a particular library, platform, video, feature, or piece of content will remain available for your lifetime or indefinitely.

Where a video library is included without a subscription, you will not be required to maintain a paid subscription solely to retain access while that library remains available.

6. Memberships and subscriptions

Certain products may be offered through recurring memberships.

Where a recurring membership is offered, you must actively agree to the recurring billing arrangement. Purchasing a separate one-time product or initial access period does not automatically enroll you into recurring billing unless you expressly choose the recurring option.

Once activated, a monthly membership renews automatically each month until cancelled.

You may cancel at any time. Unless applicable law or the specific offer provides otherwise:

  • cancellation takes effect at the end of your current paid billing period;

  • you retain access through that period;

  • no prorated refund is provided for unused days remaining in that billing period; and

  • no further renewal payment will be charged after cancellation takes effect.

Any cancellation mechanism and other mandatory information applicable to the membership will also be disclosed with the particular offer.

7. Membership pricing

The membership price you agree to when you subscribe may be grandfathered for as long as your membership remains continuously active, where this is stated as part of the applicable offer.

We may offer different prices to future members without changing the price of existing continuously active memberships.

If you cancel and later rejoin, you will be subject to the price and terms available when you rejoin. Your previous price is not guaranteed.

8. Membership payment

If a recurring membership payment fails, we may temporarily suspend access while the payment issue is resolved.

The payment processor may make additional attempts to process the payment in accordance with its applicable terms. If payment remains outstanding, we may terminate the membership and associated access.

9. One-time purchases and payment plans

A payment plan for a fixed-price product is not a cancellable subscription.

If you choose to pay the purchase price in installments, you are purchasing the entire product or service and agreeing to pay the complete purchase price according to the payment schedule presented at checkout.

Stopping use of the product, completing it early, or changing your mind does not automatically cancel remaining installments.

If an installment payment fails, we may suspend access while the account is outstanding. Access may be restored once payment is brought current.

If payment remains unpaid, we may terminate access and, subject to applicable law, amounts properly owing under the agreed payment plan may remain due.

10. One-time purchases and refunds

Unless otherwise stated in the specific offer, one-time digital products and services are final sale and non-refundable once purchased or access has been provided, subject always to any cancellation, refund, warranty, or other rights that cannot legally be waived.

We nevertheless want customers to receive what they purchased.

If you experience a genuine problem with a product or service - including an access problem, missing output, corrupted download, technical malfunction, or other significant issue - please contact us at hello@isabelnelis.com.

We will make reasonable efforts to resolve the problem.

We may, at our discretion and where appropriate, provide another resolution, including replacement access, correction of a technical issue, replacement of a deliverable, credit, or refund.

Nothing in this section limits any remedy required by applicable law.

11. Promotions and discounts

We may offer promotional pricing, discounts, coupon codes, launch offers, bonuses, or other special offers from time to time.

Unless expressly stated otherwise, a later promotion does not entitle a previous purchaser to receive a refund, credit, price adjustment, or retroactive discount.

12. Taxes and currency

Prices, currency, payment terms, applicable taxes, and the total amount payable will be presented through the applicable offer and checkout process as required by applicable law.

Taxes may be included in or added to the amount charged depending on the transaction, customer location, applicable law, and technical capabilities of the checkout system.

You are responsible for any taxes, duties, or similar charges properly applicable to your purchase, except where we are legally responsible for collecting or remitting them.

13. Payment processing

Payments may be processed through third-party payment processors such as Stripe and PayPal or other providers we may use in the future.

Your use of those payment services may also be subject to the payment provider's own terms and privacy practices.

We do not need to receive or store your complete payment-card information when it is processed directly by the applicable payment provider.

14. Chargebacks and payment disputes

If you experience a problem with a purchase, we encourage you to contact us at hello@isabelnelis.com before initiating a chargeback or payment dispute so we have a reasonable opportunity to resolve the issue.

Nothing in these Terms prevents you from exercising legitimate chargeback, consumer-protection, or other rights available to you under applicable law.

15. Coaching services

We may offer private coaching through video calls, text messages, voice messages, video messages, a client coaching portal, or other communication tools.

The exact scope of coaching - including session frequency, communication methods, availability, response expectations, duration, and included services - will be described in the particular coaching offer or agreement.

We do not promise a general response time under these Terms. Communication expectations may differ between coaching programs.

16. Coaching term and payment

Coaching may be offered for a fixed period, such as six or twelve months.

Payment arrangements may include, for example, payments covering successive three-month periods or another schedule described in the applicable offer.

The specific price, schedule, and duration presented when you purchase the coaching service will govern your engagement.

17. Ending a coaching relationship

A productive coaching relationship requires both parties to be comfortable continuing to work together.

Unless different terms are required by law or expressly stated in the particular coaching agreement, either you or Isabel Nelis may end the coaching relationship by providing 7 days' written notice.

If the relationship ends normally:

  • future payments for coaching that will no longer be provided will stop; and

  • amounts already paid for coaching services that have not yet been provided will be refunded on a reasonable prorated basis.

If we end the relationship because we determine that we are no longer an appropriate fit for reasons unrelated to misconduct or breach by the client, the same principle applies: we retain payment for services already provided and refund prepaid amounts attributable to services that will not be provided.

These contractual provisions do not limit any termination rights available under applicable law.

18. Coaching misconduct or breach

Payments may be processed through third-party We may suspend or end a coaching relationship immediately where reasonably necessary because of serious misconduct, harassment, abuse, non-payment, unlawful conduct, material breach of these Terms, misuse of our intellectual property, or another serious violation of the coaching relationship.

Any financial consequences will be determined in accordance with the circumstances, services already provided, the applicable agreement, and applicable law.

19. Coaching session cancellations

Clients should provide at least 48 hours' notice when cancelling or rescheduling an individual coaching session.

Where less than 48 hours' notice is provided, or the client does not attend the scheduled session, the session may be treated as used.

We may make exceptions for emergencies or exceptional circumstances at our discretion.

If we need to cancel or reschedule a session, the client will not lose the session. We will make reasonable efforts to reschedule it at no additional cost. If we are ultimately unable to provide it, the session will remain unused or be otherwise appropriately credited.

20. Coaching recordings

Live coaching sessions may be recorded only with the client's consent.

If the client does not consent to recording, the session may proceed without being recorded.

Where a session is recorded, the recording may be placed in the client's coaching platform or portal for use in connection with the coaching engagement.

Consent to record a coaching session does not constitute consent for us to use the recording publicly, in marketing, on YouTube, in a testimonial, in a course, or for another unrelated purpose.

Any such use requires separate consent.

21. Educational purpose and no guaranteed results

Our products and services provide tools, frameworks, education, guidance, recommendations, and support.

We do not guarantee any particular result.

Business outcomes depend on many factors outside our control, including your decisions, implementation, effort, experience, circumstances, market conditions, audience, third-party platforms, and other variables.

No statement on our Website or in a product, app, course, video, email, coaching session, testimonial, or other communication should be interpreted as a guarantee of revenue, profit, audience growth, YouTube performance, customer acquisition, business success, career outcome, or other specific result.

Please also review our Disclaimer.

22. No professional advice

Our Website, apps, coaching, courses, videos, materials, recommendations, AI-assisted outputs, and other content are provided for educational and informational purposes.

They are not legal, financial, tax, accounting, investment, medical, psychological, mental-health, or other regulated professional advice.

You are responsible for obtaining advice from an appropriately qualified professional when your circumstances require it.

23. Artificial intelligence

Some of our products use artificial intelligence services to help generate recommendations, analyses, ideas, written material, or other outputs.

AI-generated or AI-assisted content may contain errors, omissions, inaccuracies, or unexpected results.

We do not guarantee that AI-assisted outputs will be:

  • accurate;

  • complete;

  • error-free;

  • appropriate for your circumstances;

  • legally compliant for your particular use;

  • free from third-party rights; or

  • unique to you.

You are responsible for reviewing outputs and exercising your own judgment before relying on, implementing, publishing, or commercially using them.

Different users may receive similar or overlapping ideas, language, recommendations, or outputs.

24. Your content

You retain ownership of the content you provide through our products and services, including your:

  • business and brand information;

  • answers and ideas;

  • scripts and written material;

  • uploaded documents;

  • .md files;

  • prompts;

  • business data;

  • coaching materials; and

  • other original content you provide.

You grant us only the permissions reasonably necessary to host, process, transmit, analyze, and otherwise use that content to operate the product or service you requested, provide your outputs, maintain security, and perform related legitimate business functions described in our Privacy Policy.

Using our services does not transfer ownership of your underlying content to us.

25. Your generated output

Subject to any rights belonging to third parties and the limitations inherent in AI-generated material, you may use, modify, adapt, download, and commercially use the outputs generated for you through our products.

For example, you may provide your resulting brand documents to a designer, modify your .md files, use generated icons or business materials, or import your outputs into another tool.

Your right to use your outputs does not transfer ownership of our underlying frameworks,

software, methodology, prompts, educational material, workflow, or other intellectual property.

26. Our intellectual property

The Website and our products contain intellectual property owned by or licensed to Isabel Nelis.

  • frameworks and methodologies;

  • proprietary processes and workflows;

  • application structure and functionality;

  • prompts and system design;

  • questions and exercises;

  • educational materials;

  • courses and tutorials;

  • videos;

  • templates;

  • graphics and visual elements;

  • branding;

  • written content;

  • software; and

  • other original materials.

Purchasing or accessing a product gives you a limited right to use it for your own personal or business purposes. It does not transfer ownership of our intellectual property to you.

Unless we expressly authorize it, you may not copy, reproduce, republish, redistribute, sell, sublicense, teach, commercially exploit, reverse-engineer, imitate, or use our proprietary materials to create a competing product, service, course, application, framework, or methodology.

27. Free resources

Free resources - including guides, worksheets, templates, checklists, downloads, and similar materials - remain protected by our intellectual property rights unless expressly stated otherwise.

You may use them for your own personal or business purposes.

You may not resell, redistribute, reproduce, repackage, or present them as your own, or incorporate our proprietary material into a product you sell, unless we have expressly given permission.

You are welcome to share links to our publicly available content rather than copying or republishing the content itself.

28. Your responsibility for uploaded content

You may only submit, upload, or process content that you have the legal right and authority to use.

You are responsible for obtaining any necessary permissions relating to third-party intellectual property, confidential information, personal information, client materials, or other protected content.

You should not enter highly sensitive information into our business-building applications unless genuinely necessary.

In particular, do not provide passwords, full payment-card details, banking credentials, government identification numbers, medical records, or similarly sensitive information where the product does not require it.

29. Acceptable use

You may not use our Website, products, services, or accounts:

  • for unlawful or fraudulent purposes;

  • to harm, threaten, harass, or abuse others;

  • to violate another person's rights;

  • to distribute malicious software or interfere with systems;

  • to gain unauthorized access to accounts or technology;

  • to improperly extract, scrape, copy, or reproduce proprietary content;

  • to circumvent access controls;

  • to share access contrary to these Terms; or

  • in another manner that materially harms us, our users, our technology, or third parties.

Serious or repeated violations may result in suspension or termination of access.

30. Suspension and termination for misuse

We may suspend or terminate access without refund where a user materially violates these Terms, including through account sharing, fraud, deliberate misuse, unauthorized redistribution, infringement or exploitation of our intellectual property, attempts to interfere with our systems, or other serious misconduct.

Where appropriate, we may first provide an opportunity to correct a minor or inadvertent violation.

Nothing in this section affects rights or remedies that cannot legally be excluded.

31. Technical requirements

Our online products require compatible technology and internet access.

You are responsible for maintaining a reasonably current browser, suitable device, internet connection, and software necessary to use the product and access or save its deliverables.

Although certain products may function on a mobile phone, we strongly recommend using a laptop or tablet for the best user experience where indicated.

A customer's device or connection problem is different from a malfunction of our product. If our product is not functioning properly, please contact us so we can reasonably investigate and assist.

32. Third-party platforms and services

Our business depends in part on third-party services.

These may include payment processors, hosting providers, email services, AI providers, video platforms, scheduling services, coaching portals, communication tools, and other technology providers.

We may replace a third-party provider or modify the technical implementation of a product when reasonably necessary, provided we continue to deliver substantially the product or service purchased where possible.

Your interaction with a third-party service may also be governed by that provider's own terms and privacy policies.

33. Service availability and interruptions

We do not guarantee uninterrupted, error-free, or 24/7 availability of our Website, apps, memberships, video libraries, portals, or other online services.

Temporary interruptions may occur because of maintenance, updates, internet failures, hosting outages, third-party platform failures, security events, circumstances outside our reasonable control, or other technical issues.

We will make reasonable efforts to maintain and restore services we actively support.

34. Product changes

Digital products evolve.

We may improve, update, modify, replace, or remove features, workflows, AI functionality, tutorials, content, or technical components over time.

We may make reasonable changes without obtaining individual customer approval each time.

Where a change materially affects the core product or service a customer specifically purchased, we will handle the situation reasonably and in accordance with applicable law.

35. Discontinuing products

We may discontinue an app, membership, video library, feature, or other product when we determine that continuing to operate it is no longer commercially, technically, strategically, or otherwise reasonable.

No purchase should be interpreted as a promise that we will operate a particular digital product indefinitely.

If we discontinue a recurring paid service, we will stop charging customers for periods after the service ends and will appropriately address amounts prepaid for services we will not provide, where applicable.

Downloaded files already provided to you remain yours to keep.

36. Third-party links

Our Website, products, emails, videos, or resources may contain links to third-party websites, products, or services.

We do not control those third parties and are not responsible for their content, availability, security, privacy practices, products, services, promises, or conduct.

A link does not necessarily mean that we endorse everything provided by that third party.

Where a link is an affiliate link, we will disclose the relationship as appropriate.

37. Testimonials and examples

Testimonials, case studies, client results, screenshots, messages, recordings, or other client material will only be used in accordance with the consent provided by the individual concerned.

A person's consent to participate in coaching, use an app, upload information, or communicate privately with us does not automatically give us permission to use that material publicly.

Testimonials and examples represent individual experiences and do not guarantee that you will achieve the same or similar results.

38. Disclaimer of warranties

To the maximum extent permitted by applicable law, our Website, products, services, content, and technology are provided without warranties beyond those expressly stated by us or required by law.

We do not warrant that every product will meet every user's subjective expectations or that all content, AI outputs, technology, or third-party services will always be accurate, uninterrupted, complete, or error-free.

This provision does not exclude legal warranties, consumer guarantees, or other protections that cannot legally be waived.

39. Limitation of liability

To the maximum extent permitted by applicable law, Isabel Nelis and Isabelle Nelis will not be liable for indirect, incidental, special, consequential, exemplary, or similar losses arising from your use of or inability to use our Website, products, services, content, or outputs.

This includes, where legally permitted, claims for lost profits, lost revenue, lost business opportunities, loss of data, reputational harm, or business decisions made based on educational, coaching, or AI-assisted material.

To the maximum extent permitted by law, our total aggregate liability arising from a particular product or service will not exceed the amount you actually paid to us for the product or service giving rise to the claim.

These limitations do not apply where liability cannot lawfully be excluded or limited.

40. Privacy

Your use of our Website and services is also subject to our Privacy Policy.

Our Privacy Policy explains how we collect, use, disclose, retain, protect, and otherwise process personal information, including information processed through our applications, coaching services, accounts, communications, and third-party providers.

41. Changes to these Terms

We may update these Terms as our business, products, technology, or legal obligations evolve.

The current version will be posted on our Website with an updated "Last updated" date.

Minor, administrative, or clarifying changes may take effect when posted.

Where a change materially affects existing customers or an ongoing service, we may provide additional notice where appropriate or required by law.

Changes will not retroactively remove rights that have already accrued or override mandatory legal protections.

42. Informal dispute resolution

If you have a concern or dispute relating to a purchase or service, we encourage you to contact us first at hello@isabelnelis.com.

Both parties agree, where reasonable, to make a good-faith effort to resolve the issue directly before beginning formal legal proceedings.

This does not prevent either party from exercising urgent legal remedies or rights that cannot lawfully be restricted.

43. Governing law

These Terms are governed by the laws of the Province of Quebec and the applicable federal laws of Canada, without regard to conflict-of-law principles, except where mandatory laws applicable to you provide otherwise.

Because our products may be purchased worldwide, you may have mandatory consumer rights under the laws of the jurisdiction in which you reside. Nothing in these Terms is intended to

deprive you of rights that cannot legally be waived by contract.

44. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be interpreted or limited to the minimum extent necessary, where permitted, and the remaining provisions will continue in effect.

45. No waiver

If we do not immediately enforce a provision of these Terms, that does not mean we permanently waive our right to enforce it later.

46. Entire agreement

These Terms, together with the applicable product-specific offer, checkout information, order confirmation, coaching agreement where applicable, Privacy Policy, and any other terms expressly incorporated into the purchase, form the agreement between you and Isabel Nelis concerning the applicable product or service.
